Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") are an agreement between you and Genomac Holdings ("Genomac Holdings," "we," "us," or "our"), governing your use of the Omicsboard Lab desktop application and this website (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use the Service.

2. The service

Omicsboard Lab is an AI-assisted desktop application that helps you learn methods, analyze your own data, and build tools in the computational life sciences, working alongside an AI partner ("Omi") in a local notebook environment. Some features rely on connecting to our servers and third-party providers (see Section 9); others run entirely on your own machine.

3. Accounts

You need an account to use the Service. You agree to provide accurate information, keep your login credentials secure, and let us know if you believe your account has been compromised. You're responsible for activity that happens under your account. Accounts are for individual use — please don't share a single account across multiple people.

4. Subscriptions & billing

The Service is offered on a free-trial basis, and through paid plans (currently Pro and Power) billed monthly or annually, at the price shown at checkout in your chosen currency.

  • New accounts get a limited one-time free allowance to try the Service before paying anything.
  • Paid plans grant access for the period you paid for (one month or one year). Access is not automatically renewed or re-charged — when your paid period ends, you'll need to actively subscribe again to keep going. You're always in control of if and when you're charged again.
  • One-Time Project Access is a separate option: you purchase a real balance once, and spend it at your own pace, without needing an ongoing subscription.

Prices, plan allowances, and features may change over time; we'll do our best to make any change clear before it applies to you.

5. Refunds

Payments are generally final, and we don't offer automatic refunds. That said, if something genuinely went wrong — a duplicate charge, a technical failure, or anything else that feels unfair — please reach out to info@genomacholdings.com and we'll review it case by case.

6. Acceptable use

Please don't:

  • Use the Service for anything illegal, or to harm, defraud, or infringe on the rights of others.
  • Attempt to circumvent rate limits, usage metering, or billing — for example, by automating requests to extract disproportionate value relative to what you've paid for.
  • Attempt to gain unauthorized access to our systems, other users' accounts, or data.
  • Resell, sublicense, or share access to the Service without our written permission.

We may suspend or terminate access for anyone who violates this section (see Section 11).

7. Your content & our content

You keep full ownership of your own data, code, and results. As explained in our Privacy Policy, your raw data files never even reach our servers — they stay on your own machine throughout. We claim no ownership over anything you create using the Service.

The Service itself — including the Omicsboard Lab application, the Omi persona and branding, and the underlying software — is the property of Genomac Holdings. These Terms don't grant you any right to copy, modify, reverse-engineer, or redistribute the application itself.

8. Scientific & analytical output — please read this one

Omicsboard Lab and Omi are assistive tools meant to help you learn, analyze, and build. They are not a certified diagnostic system, and any output — including variant calls, resistance/pathogen analyses, statistical results, or generated code — should be independently verified before you rely on it for real research conclusions, clinical decisions, publication, or regulatory purposes. You remain responsible for how you use and interpret any result the Service produces.

9. Third-party services

The Service relies on third-party infrastructure to function — payment processing, AI model providers, cloud hosting, and public scientific databases. We choose these providers carefully, but we're not responsible for their availability, accuracy, or any acts or omissions on their part.

10. Disclaimers & limitation of liability

The Service is provided "as is" and "as available," without warranties of any kind, to the fullest extent permitted by law. To the maximum extent permitted by applicable law, Genomac Holdings will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, and our total liability for any claim will not exceed the amount you paid us in the twelve months before the claim arose.

11. Termination

You can stop using the Service, or ask us to close your account, at any time by contacting info@genomacholdings.com. We may suspend or terminate your access if you violate these Terms, misuse the Service, or where required by law, generally after making a reasonable effort to let you know why.

12. Changes to these terms

We may update these Terms as the Service evolves. We'll update the "Last updated" date above when we do, and if a change is material, we'll make a reasonable effort to let you know directly. Continuing to use the Service after a change takes effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, and any dispute arising from them will be resolved in the courts of Nigeria.
